agreement: (a)  are exclusive of VAT, and you shall in addition pay an amount equal to any VAT chargeable on those sums on delivery of a VAT invoice; and (b)  shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). INTELLECTUAL PROPERTY RIGHTS 6.1  In relation to the Services: (a)  we (and our licensors) shall retain ownership of all Intellectual Property Rights in the Services and any materials (including but not limited to documents, pdfs and videos) we provide to you but excluding the Customer Materials; (b)  we grant you a non-exclusive, royalty-free licence during the Subscription Period to use and download one (1) copy the materials (excluding the Customer Materials) solely for the purpose of receiving and using the Services and/or the Deliverables; and (c)  you shall not, in any manner, modify, sub-license, assign or otherwise transfer the rights granted in clause 6.1(b).
